Mostly just cosmetic differences. The U.S version has shorter smokestacks for child safty, battle damage paint, and either a black or grey gun. Also the inner package looks like the inside of Primes Trailer, while the Japanese version comes with a paper trailer of the outside you can fold together.
I have both versions, but I prefer the Japanese version since it is more clean looking and has the longer stacks, a better instruction booklet, and a little trading card, also the Japanese version is more expencive too.

The Japanese version also supposedly contains more die-cast content (partially explaining the price difference). I have the American version, and have no problem with the quality. Mostly, I'm jealous of the cardboard trailer in the Japanese version. This version doesn't make as convincing a cab as the G1 original did, so it really needs a trailer to help it out.

Both versions have the exact same amount of diecast, I think that the American version is cheaper because Hasbro has a much larger buying public so they can sell it cheaper but make it up in volume.

Hi guys, i think both takara and hasbro MPC started out at the same price point -- 4,500 pesos (around US$80)... demand for the takara version pushed its price beyond $100 while overstock of the hasbro version dropped its price.
... aside from the smokestack difference and the battle damage paint job, takara has the trailer cardboard... but the US version (specifically the second wave) has a black rifle and a dreamwave poster.

Chen is right the diecast content is the same for both version. Also like Chen I prefer the Japanese version because of the pristine look and longer smokestacks. Miliatype if you want the Takara version check out toynk in ebay. I bought my Takara one from them and ended up paying only about $87 plus a small shipping charge. Good luck.

just a litlle reply her, you state you will collect Binaltech, but Prime is not binaltech, he is Masterpiece. Binaltech is a line of realistic cars made into transformer characters of old. This is not to say that they wont display very nicely together

Good point Scrapper, they definitely are 2 different lines and they do display great together.

That's right, Prime and the Binaltechs/Alternators look really good together in robot modes, in vehicle mode Prime is a little to small to be in exact scale with the others but I think Takara cared more about them looking good together in robot mode like their ads show.

The cab mode is not also totally perfect, unlike the BT's which have a very nice car mode.
And again Prime still needs his trailer, I can't call him Optimus yet without the trailer.
